MAGAN.AI TERMS OF SERVICE AND LIABILITY AGREEMENT
Effective Date: 12/1/2025

1. DEFINITIONS
1.1 “Company” refers to Magan.ai, its parent entities, subsidiaries, officers, directors, employees, contractors, and agents.
1.2 “System” or “Magan.ai System” means the offline AI software, machine-learning components, models, updates, patches, training data, and any related documentation provided by the Company.
1.3 “AI Interface” refers to the artificial intelligence interface developed and provided by the Company through which Users interact with AI models.
1.4 “User” or “You” refers to any individual or entity that downloads, installs, accesses, or uses the System or AI Interface.
1.5 “Agreement” collectively refers to these Terms of Service (“Terms”), the Liability Release Agreement, and all incorporated policies, including the Use‑Based Restrictions.

2. ACCEPTANCE OF TERMS
2.1 Binding Agreement. By accessing, downloading, installing, or otherwise using the System, You acknowledge that You have read, understood, and agreed to be legally bound by this Agreement.
2.2 Authority. If You are entering this Agreement on behalf of an organization, You represent and warrant that You have lawful authority to bind such entity.
2.3 Non‑Acceptance. If You do not agree to any provision of this Agreement, You must immediately cease use of the System and delete all copies in Your possession.

3. USE-BASED RESTRICTIONS
You agree not to use the Model or Derivatives of the Model:
-	In any way that violates any applicable national, federal, state, local or international law or regulation;
-	For the purpose of exploiting, harming or attempting to exploit or harm minors in any way;
-	To generate or disseminate verifiably false information and/or content with the purpose of harming others;
-	To generate or disseminate personal identifiable information that can be used to harm an individual;
-	To defame, disparage or otherwise harass others;
-	For fully automated decision making that adversely impacts an individual’s legal rights or otherwise creates or modifies a binding, enforceable obligation;
-	For any use intended to or which has the effect of discriminating against or harming individuals or groups based on online or offline social behavior or known or predicted personal or personality characteristics;
-	To exploit any of the vulnerabilities of a specific group of persons based on their age, social, physical or mental characteristics, in order to materially distort the behavior of a person pertaining to that group in a manner that causes or is likely to cause that person or another person physical or psychological harm;
-	For any use intended to or which has the effect of discriminating against individuals or groups based on legally protected characteristics or categories;
-	To provide medical advice and medical results interpretation;
-	To generate or disseminate information for the purpose to be used for administration of justice, law enforcement, immigration or asylum processes, such as predicting an individual will commit fraud/crime commitment (e.g. by text profiling, drawing causal relationships between assertions made in documents, indiscriminate and arbitrarily-targeted use).

4. USER RESPONSIBILITIES
4.1 Legal Compliance. You agree to comply with all applicable laws, regulations, and statutes governing Your use of the System.
4.2 Security Obligations. You are solely responsible for safeguarding authentication credentials and preventing unauthorized access.
4.3 Third‑Party Licenses. If You incorporate third‑party components or models, You must comply with all applicable licenses.

5. INTELLECTUAL PROPERTY RIGHTS
5.1 Ownership. The System and all proprietary rights therein are the exclusive property of the Company.
5.2 Restrictions on Use. Except where expressly authorized, You shall not copy, modify, reverse‑engineer, decompile, distribute, or create derivative works of the System.
5.3 Derivative Works. Any derivative works created by You remain subject to this Agreement.

6. LIABILITY RELEASE AGREEMENT
6.1 Use at Your Own Risk. You expressly acknowledge that Your use of the System and AI Interface is voluntary and undertaken entirely at Your own risk.
6.2 No Guarantees. The Company does not guarantee the correctness, reliability, completeness, or suitability of any AI-generated output.
6.3 Indemnification. You agree to indemnify, defend, and hold harmless the Company from all claims, liabilities, damages, losses, and expenses arising from or related to Your use of the System.
6.4 Third-Party Content. The System may generate output derived from or referencing third‑party content. The Company disclaims responsibility for such content.
6.5 Force Majeure. The Company shall not be liable for delays or failures resulting from circumstances beyond its reasonable control.

7. WARRANTIES & DISCLAIMERS
7.1 No Warranty. THE SYSTEM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
7.2 Implied Warranties Disclaimed. ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT, ARE EXPRESSLY DISCLAIMED.
7.3 No Performance Guarantee. The Company makes no assurances regarding uptime, availability, accuracy, or performance.

8. LIMITATION OF LIABILITY
8.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
8.2 Liability Cap. In no event shall the Company’s total aggregate liability exceed the amount paid by You for the System, if any.

9. DATA PRIVACY
9.1 Compliance. The Company will adhere to applicable data‑protection laws.
9.2 User Consent. By using the System, You consent to the limited processing of operational data.
9.3 Sensitive Data. The System does not intentionally transmit personal data to third parties without lawful basis.

10. TERMINATION
10.1 Termination Rights. The Company may suspend or terminate Your access at any time.
10.2 Post‑Termination Obligations. Upon termination, You must immediately discontinue use and delete all copies of the System.

11. OPEN-SOURCE COMPONENTS
11.1 Use Restrictions. Open-source components remain subject to their respective licenses.
11.2 No Warranty for Open-Source. The Company disclaims warranties regarding third‑party open‑source components.

12. AGE & ELIGIBILITY
12.1 Minimum Age Requirement. You must be at least 18 years old or the age of majority in your jurisdiction.

13. GOVERNING LAW & DISPUTE RESOLUTION
13.1 Governing Law. This Agreement shall be governed by the laws of the jurisdiction of incorporation of the Company.
13.2 Arbitration. All disputes shall be resolved through binding arbitration.

14. ASSIGNMENT
14.1 No Assignment. You may not assign Your rights without prior written consent.

15. CONFIDENTIALITY
15.1 Confidential Information. You shall not disclose confidential or proprietary information obtained through the System.

16. NOTICES
16.1 Notice Requirements. All required notices must be delivered to the Company at the contact information provided on its official website.

17. ENTIRE AGREEMENT
17.1 This Agreement constitutes the entire integrated agreement between You and the Company.
